Gvybe is a technology platform that connects hosts with independent performers (DJs, entertainers) for live remote music experiences. Gvybe provides the technology infrastructure only — it is not a performer, talent agency, event organizer, or employer. Any agreement for performance services is solely between the host and the performer.
Users must be 18 years of age or older to create an account on Gvybe. By registering, you confirm that you meet this requirement. Gvybe reserves the right to terminate any account found to be in violation of this requirement without notice.
Gvybe operates as an invitation-only or waitlist-based platform during its early access phase. Submitting a waitlist application does not guarantee access. Account approval or rejection is at Gvybe's sole discretion, with no obligation to provide a reason.
You are responsible for maintaining the confidentiality of your account credentials. You may not share, sell, transfer, or allow others to access your account. You are responsible for all activity that occurs under your account. Gvybe may suspend or terminate accounts at any time for violations of these Terms.
This is one of the most critical sections of these Terms. Performers represent and warrant that:
Gvybe does not provide, obtain, or guarantee any music performance or streaming licenses. Performers are solely and exclusively responsible for all royalty payments, licensing fees, copyright compliance, and any legal consequences arising from their performances. By using the platform as a performer, you agree to indemnify and hold Gvybe harmless from any claims, fines, or legal costs arising from music licensing violations.

Gvybe is not responsible for the actions of hosts, guests, or participants at any event.
By enabling a camera feed during an event, hosts acknowledge and agree that:
Performers acknowledge that their live video feed may be visible to the host and event guests if displayed. They are responsible for ensuring their streaming environment is appropriate. All participants should assume that live video interaction may occur during an active Gvybe event.
Neither hosts nor performers may record, capture, or redistribute any part of a Gvybe session — including audio, video, or chat — without the explicit prior consent of all parties involved. Gvybe is not responsible for unauthorized recordings made by any party.
The Gvybe platform includes direct host-to-performer messaging and may include a guest room chat feature. All users agree to:
Gvybe reserves the right to monitor, moderate, or remove messages and to suspend or terminate users who violate these rules.
Performers using Gvybe are independent contractors. They are not employees, partners, representatives, or agents of Gvybe. Gvybe does not direct, control, or supervise the content or quality of performances. Gvybe does not guarantee bookings, availability, or income for performers. Nothing in these Terms creates an employment or agency relationship between Gvybe and any performer.
Where payment features are enabled on the platform, booking fees, platform service fees, and applicable taxes will be disclosed at the time of booking. All payments are processed through third-party payment processors — Gvybe does not store payment card information. Gvybe reserves the right to modify its fee structure with reasonable advance notice to users. Detailed fee disclosures will be provided within the platform as these features are activated.
Cancellation and refund terms will be disclosed per booking at the time of confirmation. Hosts who cancel within a defined notice window may be subject to cancellation fees. Gvybe is not liable for refunds arising from performer cancellations, technical failures, or connectivity issues outside Gvybe's reasonable control.
Gvybe may in the future allow performers to broadcast simultaneously to multiple host venues. Hosts acknowledge and agree that their assigned performer may be performing for other events concurrently during such broadcasts. This will be disclosed at the time of booking where applicable.
Gvybe does not guarantee uninterrupted service, perfect audio or video quality, or freedom from technical issues. Service quality is dependent on each party's internet connection, device, and local infrastructure. Gvybe is not liable for event disruptions caused by connectivity or technical failures.
Users may not use Gvybe for any of the following:
Gvybe's brand, name, logo, platform design, interface, and underlying technology are the exclusive property of Gvybe Inc. Users may not copy, reproduce, modify, distribute, or reverse-engineer any part of the platform without prior written consent from Gvybe.
Users retain ownership of content they create and share on the platform. By using Gvybe, you grant Gvybe a limited, non-exclusive, royalty-free license to use, display, and process your content solely for the purposes of operating, maintaining, and improving the platform. Gvybe will not sell your content to third parties.
To the maximum extent permitted by applicable law, Gvybe is not responsible or liable for the outcome, quality, or experience of any event; performer conduct, quality, or failure to appear; music licensing violations by performers; connectivity or technical failures during events; loss of data, revenue, or business arising from use of the platform; or actions of hosts, guests, or third parties. Gvybe's total liability to any user for any claim shall not exceed the amount paid by that user to Gvybe in the three months preceding the claim.
You agree to indemnify, defend, and hold harmless Gvybe Inc., its officers, directors, employees, and affiliates from and against any claims, damages, losses, fines, penalties, and legal costs arising from your use of the platform; your violation of these Terms; your violation of any applicable law or third-party rights; any content you share or stream through the platform; or any music licensing claims arising from your performances (performers).

If a dispute cannot be resolved informally, it will be submitted to binding arbitration rather than litigation, except where prohibited by local law:
These Terms are governed by the laws of the Province of Ontario, Canada. Gvybe operates internationally and acknowledges that mandatory local consumer protection or privacy laws may apply to users in the following regions:
Nothing in these Terms waives any rights users hold under mandatory local law. Where any provision conflicts with applicable local law, local law prevails for users in that jurisdiction.
Gvybe may update these Terms at any time. Users will be notified of material changes via email or platform notification. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms. If you do not agree to updated Terms, you must discontinue use of the platform.
